1. Definitions and Interpretation
In these Terms, unless the context otherwise requires: "Merchant" means the end business whose visiting card and business information is used to generate a page on the Platform; "Merchant Page" or "Page" means the one-page mobile business website generated by the Platform for a Merchant; "Order" means a request submitted by a Reseller to create or renew a Merchant Page; "Reseller Code" means the unique identifier assigned to a Reseller upon registration; "Content" means all text, images, business information, and other material submitted to or generated by the Platform in connection with an Order; and "Applicable Law" means the laws of the Republic of India as in force from time to time. Headings are for convenience only and do not affect interpretation. Words importing the singular include the plural and vice versa. References to "writing" include email communication.
2. Scope and Acceptance
These Terms apply exclusively to Resellers — meaning print shops, desktop publishing (DTP) operators, graphic designers, and similarly situated small businesses — who register on the Platform for the purpose of creating Merchant Pages on behalf of their own business customers. These Terms do not create any direct contractual relationship between Simco Ventures and any Merchant; the relationship between a Reseller and its Merchant customers, including as to pricing, service quality, and any representations made, is a matter exclusively between those two parties and falls outside the scope of this Agreement.
Acceptance of these Terms occurs upon the earlier of: (a) completion of reseller registration; (b) first use of the reseller portal or dashboard; or (c) submission of a first Order. Continued use of the Platform following any amendment to these Terms constitutes acceptance of the amended Terms.
3. Nature of the Service
OBP Creator provides a software-as-a-service tool that: (a) accepts a photograph of a Merchant's visiting card as input; (b) applies automated, artificial-intelligence-assisted extraction to identify business details from that photograph; (c) permits the Reseller to review, edit, and confirm such details, and to select from a set of pre-designed visual templates; and (d) upon confirmation and payment of the applicable fee, publishes a Merchant Page at a Platform-hosted address. The Service is provided on a self-service basis; Simco Ventures does not independently verify the accuracy of Merchant information beyond the automated extraction and Reseller confirmation described above, and expressly disclaims any obligation to do so save as required by Applicable Law.
4. Eligibility, Registration, and Account Security
Registration is intended for print shops, DTP operators, graphic designers, and comparable small businesses serving local merchants, and is not intended for use by consumers acting in a personal capacity. Simco Ventures reserves the right, in its sole and absolute discretion, to accept, reject, suspend, or terminate any reseller registration, including on grounds of suspected misuse, incomplete or inaccurate registration information, or any activity reasonably believed to be fraudulent, unlawful, or contrary to the spirit of this Agreement.
You are solely responsible for maintaining the confidentiality of your Reseller Code, login credentials, and any one-time passwords issued to your registered mobile number, and for restricting access to your account to authorised personnel of your business only. You agree to notify Simco Ventures promptly, and in any event within twenty-four (24) hours, upon becoming aware of any unauthorised use of your account or any other breach of security. Simco Ventures shall not be liable for any loss or damage arising from your failure to comply with this Section 4.
5. Fees, Pricing, and Payment
Resellers pay Simco Ventures directly for each Merchant Page created, on the following fee structure, which may be varied by Simco Ventures from time to time upon reasonable notice published on the Platform: (a) the first Order is provided free of charge; (b) the second through fifth Orders are charged at fifty rupees (₹50) each; and (c) the sixth and each subsequent Order is charged at one hundred rupees (₹100) each. Fees are exclusive of any applicable taxes, levies, or statutory charges, which shall be borne by the Reseller in addition to the stated fee where applicable under Applicable Law.
For the avoidance of doubt, Merchants are not charged by, and have no payment relationship with, Simco Ventures. Any amount a Reseller charges its Merchant customer for the creation of a Page — whether equal to, greater than, or less than the fee payable to Simco Ventures — is determined solely by the Reseller, and Simco Ventures makes no representation as to, and assumes no responsibility for, the reasonableness or lawfulness of any such downstream pricing arrangement.
Payments to Simco Ventures may be made through the Cashfree payment gateway or via direct bank transfer with UTR confirmation, as made available on the Platform from time to time. Orders are processed and Pages published only upon successful receipt of payment, save where an alternative arrangement has been separately agreed in writing.
6. Page Validity, Renewal, and Suspension
Each Merchant Page remains published and accessible for a period of fifteen (15) months from the date of its creation ("Validity Period"), following which it becomes due for renewal upon payment of the then-applicable renewal fee (currently one hundred rupees, ₹100). Simco Ventures will make reasonable efforts to notify the Reseller of an approaching renewal date through the reseller dashboard, but the Reseller remains solely responsible for tracking and initiating renewal in a timely manner.
Where a Merchant Page is not renewed by its due date, the Page shall be automatically suspended and rendered temporarily inaccessible to the public, without further notice, until such time as the renewal fee is paid. Suspension under this clause does not result in deletion of the underlying Merchant data, and the Page shall be restored promptly upon successful renewal payment. Simco Ventures reserves the right, at its discretion, to permanently delete data associated with a Page that has remained suspended for an extended period, and will endeavour to provide reasonable prior notice before doing so where practicable.
7. Reseller Responsibilities and Warranties
The Reseller represents and warrants that: (a) it has obtained the necessary authorisation and consent from the Merchant to photograph the Merchant's visiting card and to create a Merchant Page on the Merchant's behalf; (b) the business information submitted, whether extracted automatically or entered manually, is true, accurate, and not misleading to the best of the Reseller's knowledge; and (c) it will review all Platform-generated suggestions — including any AI-suggested taglines, business descriptions, or promotional copy — for accuracy prior to publication, and will not publish any claim (including, without limitation, claims as to emergency availability, operating hours, certifications, or specific services offered) that has not been explicitly confirmed by the Merchant.
Artificial-intelligence-generated content is provided as a drafting aid only and does not constitute a representation or warranty by Simco Ventures as to its accuracy, completeness, or fitness for any particular purpose. The Reseller bears sole responsibility for the final published content of each Merchant Page.
8. Intellectual Property and Content Licence
As between the Reseller/Merchant and Simco Ventures, all business information, photographs, and custom content submitted in connection with an Order remain the property of the Merchant or Reseller submitting the same. By submitting Content to the Platform, the Reseller grants Simco Ventures a non-exclusive, worldwide, royalty-free, sublicensable licence to host, reproduce, adapt, publicly display, and otherwise process such Content solely for the purpose of operating, maintaining, and delivering the Merchant Page and the Service generally, for the duration such Page remains active on the Platform.
All rights, title, and interest in and to the Platform itself — including its software, templates, visual design system, trademarks, and underlying technology — remain the exclusive property of Simco Ventures. Nothing in these Terms grants the Reseller any right to reproduce, reverse-engineer, resell, sublicense, or create derivative works of the Platform technology itself, as distinct from the Merchant Page output.
9. Prohibited Conduct
The Reseller shall not use the Platform to: (a) create a Merchant Page for a business without proper authorisation from that business; (b) impersonate any person or entity, or misrepresent an affiliation with any person or entity; (c) publish content that is unlawful, defamatory, obscene, or that infringes the intellectual property or other rights of any third party; (d) attempt to gain unauthorised access to the Platform's systems, interfere with its normal operation, or introduce malicious code; or (e) use the Platform in a manner that violates any Applicable Law, including consumer protection, advertising, and data protection legislation in force in India.
10. Third-Party Services and Dependencies
Delivery of the Service depends on certain third-party service providers, including but not limited to artificial-intelligence processing services (Anthropic), database and hosting infrastructure (Supabase, Vercel), payment processing (Cashfree), and SMS/OTP delivery (MSG91). The Reseller acknowledges that the availability, performance, and continuity of the Service may from time to time be affected by outages, changes, or discontinuation of such third-party services, and that Simco Ventures shall not be liable for any resulting disruption, save to the extent caused by its own gross negligence or wilful default.
11. Disclaimers
Save as expressly stated in these Terms, the Platform and Service are provided strictly on an "as is" and "as available" basis, without warranty of any kind, whether express, implied, or statutory, including without limitation any implied warranty of merchantability, fitness for a particular purpose, accuracy, or non-infringement. Simco Ventures does not warrant that the Service will be uninterrupted, error-free, or wholly secure, and does not warrant the accuracy of any information extracted from a visiting card photograph by automated means.
12. Limitation of Liability
To the maximum extent permitted under Applicable Law, in no event shall Simco Ventures, its officers, employees, or agents be liable to the Reseller for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of business opportunity, or loss of goodwill, arising out of or in connection with the Service, whether in contract, tort, or otherwise, even if advised of the possibility of such damages. Simco Ventures' aggregate liability to the Reseller in respect of any and all claims arising under or in connection with these Terms, in any twelve (12) month period, shall not exceed the total fees actually paid by the Reseller to Simco Ventures during that period.
Nothing in this Section 12 shall operate to exclude or limit liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be excluded or limited under Applicable Law.
13. Indemnification
The Reseller agrees to indemnify, defend, and hold harmless Simco Ventures, its officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with: (a) the Reseller's breach of any warranty or obligation under these Terms; (b) any dispute between the Reseller and a Merchant; or (c) any Content submitted by the Reseller that infringes the rights of, or causes harm to, any third party.
14. Suspension and Termination
Simco Ventures may suspend or terminate a Reseller's account, with or without prior notice, in the event of a material breach of these Terms, non-payment of amounts due, or reasonable suspicion of fraudulent or unlawful activity. The Reseller may cease using the Platform at any time by ceasing to place further Orders; termination shall not affect fees already paid, which shall be governed exclusively by the Refund Policy. Sections 8, 11, 12, 13, 15, and 16 shall survive any termination of this Agreement.
15. Force Majeure
Neither party shall be liable for any failure or delay in performance under these Terms to the extent such failure or delay is caused by circumstances beyond its reasonable control, including but not limited to acts of God, natural disaster, war, civil unrest, governmental action, internet or telecommunications failure, or failure of a third-party service provider referenced in Section 10.
16. Governing Law and Dispute Resolution
These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of India. The courts at Mumbai, Maharashtra shall have exclusive jurisdiction over any dispute arising hereunder, save that Simco Ventures may, at its option, seek interim or injunctive relief in any court of competent jurisdiction. The parties agree to first attempt in good faith to resolve any dispute through informal negotiation by written notice before initiating formal proceedings.
17. General Provisions
Severability. If any provision of these Terms is held invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
Assignment. The Reseller may not assign or transfer its rights or obligations under these Terms without the prior written consent of Simco Ventures. Simco Ventures may assign these Terms in connection with a merger, acquisition, or sale of substantially all of its assets.
Entire Agreement. These Terms, together with the Privacy Policy and Refund Policy, constitute the entire agreement between the parties with respect to the subject matter hereof and supersede all prior agreements, understandings, and communications, whether written or oral.
Notices. Any notice required under these Terms shall be sent to the Reseller's registered email address or mobile number, and to Simco Ventures at the address set out in Section 18 below.
Amendments. Simco Ventures may amend these Terms from time to time by posting the revised version on the Platform, with the "Last updated" date revised accordingly. Material changes will, where reasonably practicable, be communicated to Resellers in advance.
